WCHA Proposed Bylaw Change:
Section 1. Governing Body. The business and property of the WCHA shall be managed and controlled by the Board Directors and an Executive Committee. The Executive Committee consists of the following: president, immediate past president, president-elect, two at large members selected by the Board of Directors, and eligible Ex Officio members of the Executive Committee.
• Due to the amount of work and responsibility required to successfully manage and grow the WCHA, the Governing Body will consist of a ten (10 member Executive Committee who will govern as a team. The President will serve as a coordinator to efficiently and effectively conduct business within the team. The roles and responsibilities, consistent with those outlined in the bylaws, will be split as appropriate amongst the Executive Committee, so not to overburden any one role or individual. Each member of the Executive Committee shall have voting rights on the Executive Committee.
• Executive Committee Members will be elected from the Board of Directors as described in Article VII, Election and Term Limits, Sections 4, 5 and 6 respectively.
• A Treasurer may also be appointed by the President to serve a two (2) year term, with the right to serve three (3) consecutive terms. The Treasurer shall serve on the Executive Committee in a non-voting capacity as well as be responsible for implementing appropriate auditing standards and activities.
• The Initial President of WCHA has appointed the original founding (5) five Executive Committee Members as Lifetime Ex Officio Executive Committee Members. The Ex Officio Executive Committee Members will have the same responsibilities and voting rights as n elected Executive Committee Member as long as they participate in 50% combined of the normally scheduled Executive Committee and Directors meetings as well as participate in the meeting in which they are voting
• Each member of the Executive Committee is entitled to only 1 vote.
